Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website www.sinthera.space (the "Site") and the digital strategic growth services (the "Services") provided by Sinthera ("we," "us," or "our").

By accessing the Site or engaging our Services, you agree to be bound by these Terms. For our retained business clients ("Clients"), these Terms are superseded by any specific Master Services Agreement (MSA) or Statement of Work (SOW) executed between you and Sinthera.

1. Description of Services

Sinthera provides digital-only strategic growth services that integrate AI, Web3, and Automation. These Services are provided on a B2B (business-to-business) basis and may include strategic advisory, automation blueprints, market analysis, and implementation support.

2. Intellectual Property Rights

We respect intellectual property and have defined it clearly.

• A. Sinthera's Pre-Existing IP: We retain all rights, title, and interest in and to our pre-existing intellectual property, including our proprietary methodologies, software, code, know-how, and any tools or materials developed or owned by us prior to or outside of a Client engagement ("Sinthera IP"). We may grant Clients a limited, non-exclusive license to use Sinthera IP only as necessary to receive the Services.
• B. Client's Pre-Existing IP: You (the Client) retain all rights, title, and interest in any data, materials, or intellectual property you provide to us for the engagement.
• C. New Intellectual Property (Deliverables): For paying Clients, any "Deliverables" (i.e., the final, unique strategic work product created specifically for you under an SOW) will be considered "work made for hire." Upon our receipt of your payment in full, we hereby assign to you all rights, title, and interest in and to the Deliverables.
• D. AI-Generated Content: You acknowledge that our Services may utilize third-party AI tools. Due to the nature of AI, we cannot guarantee the uniqueness or copyrightability of any purely AI-generated output. Current law (including in the US and EU) may consider purely AI-generated work to be in the public domain. Our assignment of rights in Section 2(C) applies to the human-authored selection, arrangement, and refinement of such content into the final Deliverable, not to the raw, unmodified AI output itself.

3. Disclaimers and Limitation of Liability

• A. No Warranty: The Site and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant that the Services will be error-free, that our strategies will guarantee any specific business outcome, or that any output (especially from AI) will be free from errors or non-infringing.
• B. Disclaimer for AI, Web3, and Automation: You expressly acknowledge and agree that:
  • AI: The field of artificial intelligence is rapidly evolving. AI output may be flawed, inaccurate, or based on incomplete data. We are not liable for any decisions you make based on AI-generated insights.
  • Web3 & Tokenomics: Our advisory services related to Web3, blockchain, and tokenomics are for informational and strategic purposes ONLY. We do not provide financial, investment, or legal advice. The crypto-asset market is highly volatile and subject to significant, unpredictable regulatory risk. You are solely responsible for your own due diligence and compliance with all applicable laws.
• C. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SINTHERA OR ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES.
• D. Liability Cap: IN NO EVENT SHALL SINTHERA'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU (THE CLIENT) TO SINTHERA UNDER THE APPLICABLE SOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

4. Client Responsibilities

As a Client, you agree to:

• Provide timely access to necessary information, data, and personnel.
• Ensure that any data you provide to us has been lawfully collected and that you have the right to provide it to us for processing.
• Make all decisions and implementations based on your own business judgment. You are solely responsible for the outcomes of your decisions.

5. Confidentiality

"Confidential Information" means any non-public information one party discloses to the other. Both parties agree to protect the other's Confidential Information with the same degree of care as their own (but no less than a reasonable degree of care) and to use it only for the purpose of the engagement.

6. Term and Termination

These Terms are effective until terminated. For Clients, the term and termination provisions will be governed by the applicable MSA or SOW. We reserve the right to suspend or terminate your access to the Site or Services for any breach of these Terms.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware. (Alternative: Any dispute shall be finally settled by binding arbitration in Wilmington, Delaware under the rules of the American Arbitration Association (AAA).)

8. General

• Entire Agreement: These Terms (and any applicable SOW/MSA) constitute the entire agreement between you and Sinthera.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Changes to Terms: We may modify these Terms at any time. We will post the revised Terms on the Site and update the "Last Updated" date. Your continued use of the Site or Services after such changes constitutes your acceptance of the new Terms.
